These Terms and Conditions govern your access to and use of the OC Intelligence platform (the “Platform”), operated by Open & Candid Ltd (Company No. SC762730, registered in Scotland) (“we”, “us”, “our”). By accessing or using the Platform you agree to be bound by these Terms. If you do not agree, you must not use the Platform.

The Platform is intended for professional research, due diligence, and business intelligence purposes.
Access to the Platform requires a paid subscription. Subscription plans, pricing, and features are as described on our pricing page at the time of purchase. We reserve the right to amend pricing and features with reasonable notice.
Your subscription is personal to you and may not be shared, transferred, or resold. You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately if you become aware of any unauthorised use of your account.
We reserve the right to suspend or terminate access to the Platform where these Terms are breached or where we have reason to believe your use is unlawful or harmful.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. You must not:
The Platform, including its design, structure, code, features, and all proprietary data processing, is the intellectual property of Open & Candid and is protected by copyright and other applicable laws. All rights are reserved.
You are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for your own internal professional purposes during your subscription period. No other rights are granted.
Underlying public sector data is made available under open government licences as described in Section 7 below. Our selection, arrangement, enrichment, and presentation of that data constitutes a separate work in which we hold rights.
Data on the Platform is sourced from third-party public sector sources. Whilst we take reasonable care to present this data accurately, we make no warranty as to its completeness, accuracy, or fitness for any particular purpose. Data may be subject to errors, omissions, or delays from source systems outside our control.
Supplier and company name matching is performed on a best-efforts basis. Contracts, donations, and other records may be attributed to similarly named entities and may not represent the specific legal entity you are researching. You should independently verify any data before acting on it.
Nothing on the Platform constitutes legal, financial, regulatory, or professional advice.
To the fullest extent permitted by applicable law, Open & Candid shall not be liable for any indirect, incidental, consequential, special, or exemplary damages arising from your use of or inability to use the Platform, including but not limited to loss of profits, loss of data, or business interruption, even if we have been advised of the possibility of such damages.
Our total aggregate liability to you in connection with these Terms shall not exceed the total subscription fees paid by you in the three months preceding the event giving rise to the claim.
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded under applicable law.
Much of the data displayed on this Platform is sourced from public sector information made available under the Open Government Licence v3.0, published by the National Archives of the United Kingdom.

Our use of your personal data (including your email address and subscription details) is limited to providing and administering the Platform and communicating with you about your account.
Some data displayed on the Platform relates to individuals in their professional or public capacity (for example, company directors, charity trustees, and political donors). Such data is sourced from public registers and is processed on the basis of legitimate interest in transparency and accountability.

These Terms are governed by and construed in accordance with the laws of Scotland. Any dispute arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Scottish courts.
